Agreement to Terms

Welcome to Scripted. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Scripted ("Company," "we," "our," or "us") governing your access to and use of the Scripted mobile application (the "App") and all related services.

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the App. Your continued use of the App after changes are posted constitutes acceptance of the modified Terms.

Eligibility and Account Registration

Age Requirements

• You must be at least 13 years of age to use the App
• Users between 13 and 17 years of age must have parental or guardian permission
• Users under 18 must have a parent or guardian review and agree to these Terms on their behalf

Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not use another person's account without permission

Account Restrictions

• One account per person
• You may not create accounts using false or misleading information
• You may not use automated methods to create accounts
• We reserve the right to refuse service or terminate accounts at our discretion

Description of Services

Scripted provides the following services:

• AI-powered personalized script generation based on your responses
• Text-to-speech audio conversion of scripts
• Storage and playback of generated audio content
• Guided mindfulness and manifestation frameworks
• Warm-up audio exercises

AI-Generated Content

You acknowledge that:

• Scripts are generated using artificial intelligence technology
• AI-generated content may contain errors, inaccuracies, or inconsistencies
• The quality and relevance of content depends on the information you provide
• We do not guarantee specific outcomes or results from using the Content
• AI technology has limitations and the Content should be used with appropriate judgment

Subscription and Payment Terms

Subscription Plans

Scripted may offer subscription plans with varying features and pricing. Current plans and pricing are displayed within the App.

Payment Processing

• All payments are processed through Apple App Store or Google Play Store
• You agree to the payment terms of the respective app store
• We do not directly collect or store your payment information

Free Trials

• Free trials may be offered at our discretion
• Only one free trial per user per subscription type
• Free trials automatically convert to paid subscriptions unless canceled before the trial ends
• You must cancel before the trial period expires to avoid charges

Subscription Renewal

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current subscription rate
• You may cancel auto-renewal at any time through your app store account settings

Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You will retain access to subscription features until the end of the paid period
• No refunds are provided for partial subscription periods

Refund Policy

• Refund requests are handled by Apple App Store or Google Play Store
• Please contact the respective app store for refund inquiries
• We do not have the ability to process refunds directly

Price Changes

• We reserve the right to modify subscription prices
• Price changes will not affect current subscription periods
• You will be notified of price changes before your next renewal

User Content and Conduct

Your Content

"User Content" refers to any information, text, responses, or other content you provide through the App, including responses to guided questions and script customization choices.

You retain ownership of the content you provide. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Process your content to provide our services
• Generate scripts based on your responses
• Convert scripts to audio format
• Store content in your account
• Use anonymized, aggregated data for service improvement

Prohibited Conduct

You agree NOT to:

• Use the App for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to the App or its systems
• Interfere with the proper functioning of the App
• Circumvent or disable security features
• Use automated systems (bots, scrapers) to access the App
• Reverse engineer, decompile, or disassemble the App
• Copy, modify, or distribute the App or its content
• Use the App to harass, abuse, or harm others
• Share your account credentials with others
• Create multiple accounts to abuse free trials or promotions

Content Moderation

We reserve the right to:

• Review User Content for compliance with these Terms
• Remove or disable content that violates these Terms
• Suspend or terminate accounts for violations
• Report illegal activity to appropriate authorities

Intellectual Property Rights

Our Property

The App, including its design, features, functionality, text, graphics, logos, icons, audio, and software, is owned by Scripted and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute any part of the App
• Use our trademarks, logos, or branding without permission
• Create derivative works based on the App
• Remove any copyright or proprietary notices

Your Rights to Generated Content

Scripts and audio generated for your personal use:

• Are provided for your personal, non-commercial use
• May be downloaded and stored on your devices
• May not be resold, redistributed, or used commercially without permission
• Remain subject to these Terms even after download

Feedback

Any feedback, suggestions, or ideas you provide about the App become our property. We may use such feedback without obligation to you.

Third-Party Services

The App integrates with third-party services including:

• Apple App Store / Google Play Store (distribution and payments)
• Firebase/Google Cloud (authentication and storage)
• Anthropic (AI script generation)
• Google Cloud Text-to-Speech (audio generation)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

"AS IS" AND "AS AVAILABLE"

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA TRANSMISSION
• CORRECTION OF DEFECTS

NO GUARANTEE OF RESULTS

WE DO NOT GUARANTEE THAT:

• The App will meet your specific requirements or expectations
• The Content will produce any particular results or outcomes
• Scripts or audio will be effective for your personal goals
• The App will be available at all times without interruption
• Errors or defects will be corrected

TECHNOLOGY LIMITATIONS

AI-generated content may contain errors, biases, or inaccuracies. Text-to-speech audio may have pronunciation variations. You acknowledge these technological limitations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

WE SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or emotional distress arising from App use
• Damages resulting from unauthorized access to your account
• Damages from interruption or cessation of services
• Damages from reliance on Content or information in the App
• Damages from third-party services or content

MAXIMUM LIABILITY

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP EXCEED THE GREATER OF:

• The amounts paid by you to us in the twelve (12) months prior to the claim, OR
• One hundred dollars ($100 USD)

JURISDICTIONAL LIMITATIONS

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Scripted and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the App
• Your User Content
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any dispute between you and a third party

Termination

By You

• You may stop using the App at any time
• You may delete your account through the App settings or by contacting us
• Account deletion will result in permanent removal of your data

By Us

We may suspend or terminate your access to the App:

• For violation of these Terms
• For fraudulent or illegal activity
• For extended periods of inactivity
• If required by law
• At our sole discretion, with or without notice

Effect of Termination

• Your right to use the App ceases immediately
• We may delete your account and data
• Provisions that should survive termination will remain in effect (including disclaimers, limitations of liability, and indemnification)

Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at tryscripted@gmail.com. We will attempt to resolve disputes within 30 days.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Jurisdiction

Any disputes not resolved informally shall be resolved in the state or federal courts located in Los Angeles, California. You consent to the personal jurisdiction of these courts.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

Time Limitation

Any claim arising from or related to these Terms or the App must be filed within one (1) year after the cause of action arises, or such claim is permanently barred.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scripted regarding the App.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/power outages.

Headings

Section headings are for convenience only and do not affect interpretation of these Terms.

Electronic Communications

By using the App, you consent to receive electronic communications from us. These communications satisfy any legal requirement that communications be in writing.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date
• We will notify you through the App
• We may require you to accept the new Terms to continue using the App

Your continued use of the App after changes take effect constitutes acceptance of the modified Terms.
